Drop Terms and Conditions of Use
Last updated: October 7, 2026
Drop is a platform operated by Boxful Technologies, S.A. de C.V. Version 1.0.
1. Operator identification and purpose of the agreement
These terms and conditions govern the registration, access and use of Drop, its modules, interfaces, integrations and related services by merchants, sellers, dropshippers, vendors and their authorized users. Drop is a product operated by Boxful Technologies, S.A. de C.V., hereinafter "Boxful", "we" or the "Operator". The name "Drop" identifies the platform and is not a legal entity separate from the Operator.
The Operator's details are: registered address Colonia Las Mercedes, Calle Los Granados y Avenida Las Mercedes, Casa #645, San Salvador Centro, El Salvador; country of incorporation El Salvador; and tax or registration number 0614-200722-103-8. When a local service is contracted with another group entity or a third party, its identity and scope of liability must be stated in the corresponding contract. Belonging to the Boxful group does not in itself create joint and several liability among its entities.
The agreement sets out the conditions for using Drop technology and, where applicable, the general rules for coordinating catalog, inventory, orders, fulfillment, parcel delivery, cash on delivery and settlement. A module is only part of the contracted service when it is enabled for the account and the country, and its specific conditions have been disclosed and accepted where required.
2. Definitions
"User" is the individual or legal entity that contracts or uses Drop and accepts these terms. "Account holder" is the person responsible for the main account. "Authorized user" is a person the account holder allows to operate certain modules. "Merchant" or "Seller" is whoever offers and sells products to the end buyer through their own store, sales channel or sales activity, even if they use Drop to manage their operation.
"Vendor" is whoever supplies, markets or makes products available for other users to sell, and who must prove their origin and fulfill their obligations regarding the goods supplied. "End buyer" is whoever purchases the product from the selling merchant. "Courier" is the carrier that performs the delivery service. "Fulfillment" covers the storage, picking and dispatch services actually contracted.
"Order" is a record of commercial and operational instructions associated with products and a recipient. "COD" or "cash on delivery" is the method in which an amount is requested to be collected upon delivery. "Wallet" is the record of the account's operating balances in Drop. "Credit" is the accounting recognition of an amount according to the applicable reconciliation. "Settlement" is the process of transferring to the beneficiary a balance that meets the availability conditions.
"External services" are platforms, applications, banks, processors, networks and operators outside Boxful's control. "Meta Data" is data received through Meta technologies under a valid authorization. "Specific conditions" are contracts, annexes, rates, proposals or service rules made available and accepted for a given operation.
3. Acceptance and capacity to contract
Users must read these terms before creating an account, accepting an invitation or contracting a service. Acceptance will be recorded through the electronic mechanism presented by Drop. When the law requires express acceptance of a specific condition, merely accessing the site will not replace that requirement. Users may keep a copy of the text and consult the applicable version.
By selecting the acceptance checkbox during registration, the user accepts these Terms and the current Privacy Policy, including limited measurement through PostHog and recording in authenticated sessions with masked data, as described in that policy.
A person accepting on behalf of a company represents that they have sufficient authority to bind it and to manage its assets, data and integrations within the authorized scope. Commercial use of Drop requires legal capacity to contract and to fulfill the corresponding obligations. Anyone operating an account without such authority must refrain from acting on behalf of third parties.
Users acknowledge that contracting the technology does not guarantee sales, profitability, access to credit or the availability of every feature. Obligations that depend on an additional service only take effect when that service is validly contracted or used. Rights that the law recognizes as non-waivable prevail over any incompatible provision.
4. Applicable documents and order of precedence
The specific conditions accepted for the account and the specific services contracted form part of the contractual relationship. The Privacy Policy is published separately at app.soydrop.com/privacy-policy and describes the processing of personal data; its incorporation by reference does not turn these terms into a universal authorization for processing.
In case of conflict, mandatory law prevails; then the specific conditions expressly agreed for the matter in dispute; and finally these general terms. A technical or operational policy may not silently change a rate or reduce an obligation already accepted. A third party's conditions will govern the relevant relationship with that third party, without removing Boxful's own commitments.
Parcel delivery, fulfillment and financing services may require specific documents. If contracted separately, we will state which ones apply and when. If there is no separate document, these terms and the accepted offer must sufficiently describe the service, its costs, exclusions and claims procedure.
5. Nature and scope of Drop
Drop provides tools to coordinate users' commercial, logistics and financial operations. Depending on the enabled configuration, it allows users to browse vendors' products, manage a store or catalog, link external channels, create and import orders, confirm instructions, check statuses, manage incidents and warranties, view reports and request settlements.
Listing a product in the catalog, storing it in a warehouse, preparing an order, printing a shipping label or collecting COD do not by themselves make Boxful the manufacturer, importer, owner of the product or seller to the end buyer. The applicable role must be identified from the actual operation and the corresponding commercial documents.
When Boxful sells a product on its own account, acts as importer, expressly assumes a warranty or directly provides a service, it will be liable for the obligations of that role. No provision of these terms may be used to present as intermediation an activity that, by its actual nature or under applicable law, imposes additional obligations on the Operator.
6. Account registration and verification
The account holder must provide accurate, complete and up-to-date information about their identity, company, contacts, country, business activities and settlement beneficiaries. Boxful may request reasonable documents to verify identity, representation, account ownership, origin of goods, tax compliance or the legitimacy of an operation, depending on the service and the specific risk.
Users must not register false identities, impersonate third parties, conceal the beneficial owner when identification is required, or open accounts to circumvent a suspension. Verification, approval or activation of an account is not a public certification of solvency, product quality or full compliance by the user.
Missing essential information may prevent a feature from being activated or an operation from being processed. Boxful will communicate the requirement and allow it to be remedied where appropriate. The review must relate to the service and does not allow documents to be used for purposes other than those stated in the Privacy Policy.
7. Security and authorized users
The account holder must protect their credentials, restrict access, assign permissions according to team roles and promptly revoke access for anyone no longer authorized. Credentials are personal and must not be shared through insecure channels. Access to orders, reports, advertising data and the Wallet must be assigned according to each user's needs.
Instructions given by authorized users will be deemed issued by the account holder within the scope of the permissions granted. This rule does not release Boxful from a vulnerability or security failure attributable to it, nor does it turn a demonstrably fraudulent operation into a valid instruction merely because it appears in a log.
In case of suspicious access, users must notify support and take reasonable containment measures. Boxful may block sessions, request re-authentication or suspend affected features to protect the account. The account holder and Boxful will cooperate in the investigation, preserving evidence and avoiding exposure of third-party data.
8. Selling merchant responsibilities
The merchant is responsible for the offer and the sale it makes to the end buyer. It must identify the actual seller, disclose prices and charges, provide truthful information about features, availability, restrictions, offered delivery times, warranties, exchanges and returns, and comply with the invoicing and consumer protection obligations that apply to it.
The merchant sets its prices, discounts, advertising, sales promises and commercial conditions. It must verify that the chosen product matches what is advertised and that the images, brands, testimonials and claims used have the necessary rights and support. It must not promise benefits, medical results, availability or timeframes it cannot substantiate.
Using catalog images or descriptions does not release the seller from reviewing its offer. If it detects errors or risks, it must stop the affected listing or sale, inform Boxful and the vendor, and take the measures required towards its buyers. Agreements between seller and vendor on refunds or warranties cannot be raised against the buyer when the law imposes a direct obligation on the seller.
The merchant must maintain a working customer service channel and answer claims about the product, advertising, price and the sales relationship. It may use Drop tools to coordinate the solution, but must not direct the buyer to Boxful as a substitute for its own obligations or present Boxful as the seller without real basis.
9. Vendor responsibilities
The vendor is responsible for the legitimate origin, authenticity, quality, safety and conformity of the products it supplies, within the obligations that apply to it as manufacturer, importer, distributor or seller. It must hold permits, health registrations, brand authorizations and import documents when required.
Product listings must correctly state the product, variants, quantities, materials, compatibility, instructions, warnings, warranty and relevant restrictions. The vendor must not conceal that a product is used, refurbished, a replica, incompatible, close to expiry or subject to special conditions. It must update changes that affect its marketing and honor accepted offers.
The vendor must promptly report batch defects, safety alerts, market recalls, intellectual property infringements and availability changes. It must cooperate with traceability, identify batches or serial numbers where appropriate and bear the measures and costs that legally or contractually apply to it.
If fulfillment is provided, the vendor must deliver identified goods suitable for the contracted custody. Receiving boxes, counting units or approving inventory does not amount to a full technical inspection, health certification or authenticity validation. The vendor's obligations remain even if the product is physically in a Boxful warehouse.
10. Liability for products sold
When Boxful acts solely as technology operator, logistics coordinator or fulfillment provider, it does not assume the commercial warranty of the product nor is it liable as manufacturer or seller for defects in manufacturing, composition, operation, authenticity, fitness for a particular purpose, vendor instructions or promises made by the merchant. Those obligations belong to whoever assumes them or to whom the law assigns them.
Including a product in Drop is not a professional recommendation or a statement that Boxful has tested, certified or approved it. Commercial labels, catalog positions or demand figures do not replace safety and compliance checks. Users must assess the applicable requirements before offering the product.
The above allocation of responsibilities does not exclude damage attributable to incorrect preparation, negligent handling, breach of custody or another service of Boxful's own, nor obligations that mandatory law imposes on it because of its actual involvement. Nor does it limit the buyer's rights against the persons legally liable.
The merchant and the vendor must settle between themselves, under their contracts and the law, the final cost of warranties and returns. Boxful may provide information and handle the process without thereby assuming the cost of the product, its repurchase or any compensation. Handling a case does not imply acceptance of liability while it is being investigated.
11. Restricted products and activities
Using Drop to sell illegal, stolen, counterfeit, unauthorized hazardous or recalled goods, or goods whose advertising or distribution is prohibited, is forbidden. Fraudulent activities, scams, simulated transactions and offers that infringe third-party rights are also prohibited.
Goods subject to special permits, minimum age, health registrations, cold chain, transport of hazardous substances or other specific conditions may only be handled when their legality is proven and the appropriate service has been expressly accepted. The existence of a category on the platform does not mean that every product in that category is accepted in every country or by every courier.
Boxful may remove listings, stop dispatch or quarantine goods upon reasonable indications of risk or non-compliance. It will state the reason and the procedure available to clarify it, except where legal restrictions or security needs prevent it. Destruction, disposal or handover to authorities requires a specific legal or contractual basis; these terms do not authorize indiscriminate appropriation of goods.
12. Catalog and inventory availability
The catalog reflects information provided by vendors and movements recorded in the operation. There may be synchronization delays, physical discrepancies, pending reservations, damage or recording errors. Displayed stock does not guarantee indefinite availability nor is it an exclusive reservation until the applicable allocation rules are met.
The vendor must keep its inventory up to date. When Boxful has custody, physical movements will be validated through the corresponding warehouse procedure. Discrepancies must be investigated with inbound, outbound, picking, return and reconciliation documents, without assuming that an electronic record removes the need to verify the physical reality.
Products or variants will not be substituted with different ones without the user's valid authorization and, where applicable, the buyer's. If an accepted order cannot be fulfilled, the incident will be reported and the cancellation, correction or agreed alternative will be handled, together with any applicable financial adjustments.
13. Stores and sales channels
The merchant manages the content and conditions of its stores and channels. It must publish its identity, contact details and legal documents when required by law. If Drop offers tools to create or manage a store, that capability does not transfer to the Operator the ownership of the business or the seller's tax or consumer obligations.
Connections with Shopify or other channels are subject to their permissions and conditions. Users must verify the mapping between products, SKUs and variants, avoid duplicates and review the outcome of synchronizations and imports. An incorrect link may generate an order different from the expected one and must be corrected before confirming its preparation.
Boxful does not guarantee that every external change will be reflected immediately in Drop. Failures attributable to its own systems will be investigated and corrected according to the contracted service. Users must report relevant inconsistencies and use the available mechanisms to stop affected orders while it is still operationally possible.
14. Order creation and confirmation
When creating, importing or confirming an order, the user instructs the processing of the stated products, quantities, recipient, address, shipping method and COD amount. The user must review that data before operations proceed and must have a legitimate sale or authorization supporting the dispatch. Fictitious orders or orders created to alter metrics are prohibited.
Format, coverage or required-field validations do not guarantee that the address exists, that the phone number belongs to the buyer, that the buyer will accept delivery or that a commercial claim is correct. Users must carry out the commercial checks appropriate to their operation.
A change or cancellation request does not mean it has been carried out. After preparation, handover to the courier or the start of a route, there may be operational limits and costs actually incurred. Drop will report the outcome of the request and the applicable charges, without charging for services not provided when they must legally or contractually be refunded.
If the user enters a price or COD amount of zero, they authorize an order with no charge to the recipient under the terms shown at confirmation. Product, shipping, preparation and other accepted costs must be covered through the agreed mechanism. The absence of collection does not make the shipment free.
15. Fulfillment and custody of goods
Fulfillment services only include the activities, locations, schedules and conditions actually contracted. Requirements for inbound packaging, labeling, insurance, special handling, storage and preparation will be set out in the specific conditions. Ownership of the goods is not transferred to Boxful merely by receiving them.
Users must declare characteristics that affect custody, including fragility, value, expiry, temperature, hazardous contents and segregation requirements. Boxful is not obliged to provide a specialized service it has not accepted or to detect hidden characteristics through tests that are not part of the service.
Boxful will be liable for performing the activities under its responsibility in accordance with the contract and the law. Damage and shortages will be investigated considering the documented receipt, the condition of the packaging, the movements, the evidence and the stage at which they may have occurred. Valuation and compensation rules must be set out in the applicable contract.
Inventory withdrawal, account closure, return to vendor and handling of unclaimed goods will be subject to verified instructions and previously disclosed rules. Debts alone do not authorize selling or destroying goods. Any retention or disposal requires a valid legal or contractual power and the corresponding procedure.
16. Parcel and delivery services
Availability, coverage, rate and method depend on the country, destination, package characteristics and courier. Users must know the conditions of the selected service before confirming it. Expressions such as Same Day, Next Day or similar will be interpreted according to their cut-off times, coverage and commitments actually contracted.
Times shown as estimates are references subject to operating conditions; they are not an unconditional delivery guarantee. The merchant must properly communicate that difference to its buyers. Where a guaranteed timeframe or specific remedy has been accepted, that commitment prevails.
Courier recommendations, rankings or performance indicators guide the decision and do not ensure the outcome of an individual shipment. Users may choose among the enabled alternatives according to their permissions. The suggested selection does not replace reviewing coverage, cost and conditions.
The involvement of an external courier does not remove obligations assumed directly by Boxful as contracting party or provider of the logistics service. Liability will be determined according to the actual contract, the damage and the applicable rules. No absolute exclusion will be imposed on the user merely because a third party performed the delivery.
17. Tracking, incidents and logistics claims
Tracking statuses come from our own and third-party operational records. They may be updated late or require correction. An electronic status is information for tracking and reconciliation, but it is not conclusive and irrefutable proof of delivery, collection or physical return.
Incidents must be reported through the enabled channels, stating the shipping label, order, reason and available evidence. Boxful may request additional information proportionate to the case. Claim deadlines, requirements and eligibility criteria will be set out in the applicable logistics conditions; they will not be introduced retroactively to reject a case that has already occurred.
When a tool requires a minimum time before reporting an ordinary delay, that rule will not prevent immediate notice of apparent loss, fraud, security risk, wrong delivery or another urgent situation. Support must offer a suitable channel for those exceptions.
Opening a claim does not guarantee compensation nor automatically suspend all payment obligations. Disputed charges will be identified and reviewed. The response must distinguish what has been proven, the liability assigned and the corrective measures, allowing additional evidence to be submitted where appropriate.
18. Returns, warranties and buyer support
The seller must honor its buyers' rights regarding exchanges, warranties, returns, withdrawals or refunds as applicable. The vendor must fulfill the warranties and remedies attributable to it. Internal policies between users cannot reduce the end buyer's mandatory rights.
Drop's warranty module allows requests to be recorded and coordinated, evidence to be attached and progress to be tracked. Its name does not mean that Boxful grants its own warranty on all products. Each resolution must identify the responsible party and the agreed solution, unless Boxful has expressly assumed an additional obligation.
A distinction must be made between a commercial return, a delivery refusal, logistics damage and a product defect. Cost allocation will depend on the cause, the contract and the law. A cost arising from Boxful's own failure, which the Operator must bear, will not be automatically charged to the seller or vendor.
Physical return may occur after the status changes in the system. Restocking or financial adjustments will require verifying receipt and condition when necessary. A module restriction does not prevent filing a legally valid claim through another enabled channel.
19. Rates, commissions and taxes
Prices and commissions may include platform use, product, preparation, storage, shipping, COD collection, additional services and settlement costs. Their amount, currency, calculation basis and taxes will be disclosed through the contracting screen, rate card or proposal applicable to the account. These terms do not set a universal rate for all countries or users.
Users must check whether a rate includes taxes and whether there are surcharges for weight, volume, destination, return, re-attempt or other items. Unrequested services will not be deemed accepted by silence when the law requires consent. Promotions will have identifiable validity periods and requirements.
Rate changes will be notified with reasonable advance notice before they affect new operations. They will not retroactively change the price of a service already accepted, except for a foreseen and verifiable adjustment, such as actual weight or volume, or an applicable legal obligation.
The merchant and the vendor are responsible for their taxes and receipts for the sales or supplies they make. Boxful will issue the documents that correspond to its own services. Legal withholdings will be identified and supported; a margin calculation shown in Drop is not tax advice.
20. Cash on delivery and reconciliation
By requesting COD, the user instructs the collection of the stated amount from the recipient through the enabled operator. The user must check that the amount matches what was offered to the buyer. Changing the amount after dispatch requires confirmation of feasibility and is not considered carried out merely because it was requested.
Amounts labeled "in transit", "sold", "collected" or "pending" may represent different stages. A reported delivery does not automatically mean money received and reconciled. Crediting and availability for settlement will depend on actual collection, validation and the rules expressly disclosed.
Boxful must keep traceability of the amounts received and the applicable deductions. When it acts as recipient of funds on the user's behalf, it must manage them according to the contracted purpose and transfer the balances due. A third party's failure to remit must be handled according to the obligations assumed in the contract, without applying a general default exemption.
Collection discrepancies, duplicates, returns or errors will be investigated per order. Users must report them promptly and Boxful must correct those attributable to its operation. An amount will not be presumed uncollectible merely because the shipment shows an inconsistent status.
21. Wallet and balance adjustments
The Wallet shows records of credits, debits, pending amounts and available operating balance. By itself it is not a bank account, savings deposit or investment product, and it does not earn returns unless there is a valid and legally permissible agreement. This description does not change the nature that the law assigns to the actual service.
Users authorize the application of validly contracted charges corresponding to identifiable orders and services, as well as expressly accepted financing deductions. Set-offs must be legally permissible, correspond to enforceable obligations and be reflected in the history. These terms do not authorize arbitrary deductions or deductions unrelated to the contractual relationship.
Accounting errors may be corrected, including duplicate credits or amounts assigned to the wrong account. Boxful will state the reason and supporting evidence for the adjustment and will offer a review channel. Users must not knowingly use a balance credited in error and must cooperate to return what does not belong to them.
An insufficient balance may prevent contracting new prepaid services. If there is an outstanding obligation, its collection will be subject to the contract and the applicable legal procedures. No penalties or interest will be charged unless they have been validly disclosed and accepted.
22. Domestic, international and digital asset settlements
A settlement request must identify the beneficiary and the correct account or destination. The user represents that they are authorized to receive or instruct the payment and will review the amount, currency, bank details and costs before confirming. Boxful may verify ownership or authorization when there are risks or applicable requirements.
The statuses Pending, In progress, Settled and Rejected indicate operational stages. A pending request does not guarantee that the bank or network has already executed the transfer. Cancellation will only be possible while the process allows it. If rejected, the reason and the treatment of the reserved amount must be stated.
For domestic settlements, Boxful will not charge its own settlement fee as long as this is stated in the current offer. For international settlements, Boxful will not charge its own fee as long as this is stated, but receiving banks, intermediaries or other providers may charge fees or conversions that reduce the amount received. Any future change must be communicated and accepted before confirming a new request.
If a digital asset method is enabled, the asset, supported network, fee, any conversion and the estimated amount will be shown before confirming. Users must verify the address, network and any additional required data. Compatibility between networks using similar symbols will not be presumed. Transactions may be irreversible, and Boxful does not guarantee recovery of payments sent to incorrect details provided by the user.
Boxful will be liable for execution errors attributable to it; warnings about irreversibility do not remove that obligation. Availability of this method will depend on legality, providers and applicable controls, and does not imply investment advice or any guarantee of the asset's stability.
23. Holds and fund verifications
Boxful may temporarily stop a settlement or reserve amounts upon an order from an authority, a documented indication of fraud, a specific ownership dispute, a reconciliation discrepancy or a contractual obligation that allows it. The measure must be proportionate, limited to the affected amount and account where possible, and kept only for as long as justified.
The general reason, the information needed and the review channel will be communicated, unless prohibited by law or this would compromise a legitimate investigation. Suspending an account does not mean losing the balance nor does it allow funds to be confiscated as an automatic penalty.
Holds will be reviewed and released when their basis no longer exists, subject to legal instructions and enforceable obligations. Unaffected amounts must be settled when due. Additional timeframes and reserves for a specific service will require an identifiable agreement, without allowing an indefinite hold at the Operator's discretion.
24. Financing and credit
If financing is offered for inventory, advertising or another purpose, it will be contracted through a separate agreement identifying the lender, amount, currency, costs, rate or charges, due dates, payment method, guarantees and consequences of default. Ordinary use of Drop is not a credit application or acceptance.
Approval may depend on assessment, verifiable information and risk controls. An indicative offer does not guarantee disbursement. If it is agreed to deduct payments from COD settlements or the Wallet, the authorization must specify the scope and calculation method. No financing charges outside the accepted agreement will be applied.
Viewing advertising data through Meta Ads does not automatically authorize its use for credit assessment. Any additional use must be legally permitted, compatible with Meta's terms, explained separately and supported by the appropriate legal basis and authorization.
25. Purpose and scope of the Meta Ads module
The Meta Ads module lets the merchant connect advertising assets to which it has legitimate access in order to view information about its ads and performance reports within Drop. When the feature is enabled, the metrics may be shown alongside the store's own order, sales and operations data to make analysis easier.
The integration described in these terms is for viewing and reporting. The connection does not by itself authorize creating, editing, pausing or deleting campaigns, changing budgets, publishing ads, making advertising charges or managing payment methods. Those actions would require a separate feature, prior information and specific authorization.
Drop is a product of Boxful Technologies, S.A. de C.V. The agreement for using the module is entered into with Boxful, not with Meta. Meta retains the operation and rules of its technologies. The integration does not imply sponsorship, certification or commercial warranty by Meta regarding Drop, catalog products or the merchant's results.
26. Authorization and selection of Meta assets
The connection is made through the authorization flow provided by Meta. Users must review the requested permissions and select the assets that belong to the merchant and the correct store. They represent that they have the authority of the owner of those assets and will not connect accounts of customers, companies or third parties without sufficient authorization.
Drop will only access the information allowed by the permissions actually granted, the enabled configuration and Meta's rules. The availability of a permission does not allow unlimited use or access to other parties' assets. Technical authorization does not transfer ownership of the ad account to Boxful nor does it replace privacy obligations towards third parties.
Users must not send Boxful their Facebook password, authentication codes or secret credentials to complete the connection. The identifiers and tokens generated by the authorized flow will be used to operate the integration in accordance with the Privacy Policy and the applicable security measures.
Read permissions and any necessary auxiliary permissions will be identified in the connection flow and the module information. Any expansion of permissions or purpose will be disclosed before it is activated and will require the corresponding authorization. Declining to connect Meta may limit this module, but does not by itself breach the general agreement.
27. Advertising data accessed and permitted uses
Depending on the enabled fields and permissions, Drop may access ad account IDs and names; currency and time zone; IDs, names and statuses of campaigns, ad sets and ads; and available metrics such as spend, impressions, reach, clicks, results and conversions reported by Meta. The fields actually used must match the module description and the Privacy Policy.
This data will be used to provide the requested reports, synchronize the authorized information, calculate metrics explained to the user and resolve integration failures. It will not be sold or made available to other merchants to view their campaigns or strategies. Internal access will be limited to the functions necessary for support, security and provision of the service.
Access to ads and metrics does not mean that Drop receives the identity of each person who viewed or clicked an ad. Aggregated metrics must not be presented as a list of individually attributable buyers. Any additional processing of personal data must be described and justified separately.
Technical providers involved must act within the authorized purpose and applicable restrictions. A general service-improvement clause does not allow Meta Data to be reused to train models, build profiles of other businesses, sell databases or carry out activities incompatible with Meta's terms.
28. Relationship between ads, orders and metrics
Drop may compare ad spend with orders generated, confirmed, dispatched or delivered for the connected store, depending on the available features. Comparing periods does not by itself prove that each order comes from a specific ad. Associations must rely on the identifiers or attribution criteria actually available and disclosed.
Results may differ from Ads Manager due to attribution windows, time zone, currency, delays, modeled conversions, duplicates, cancellations, returns or different order statuses. The merchant must review the definition and source of each metric before using it for commercial or accounting decisions.
ROAS or any other metric based on recorded sales is not net profit or available cash. Profitability requires considering product cost, logistics, returns, commissions, taxes and other applicable costs. Drop does not guarantee a return on ad spend, a conversion rate or future results by showing a report.
The read-only integration does not authorize sending buyer, order, audience or event data to Meta through Pixel, the Conversions API or other tools. If such features are added, they must be described and enabled separately, with the corresponding notices, controls and legal basis. Acceptance of these terms will not be treated as buyers' consent to such transfers.
29. Visibility, security and availability of Meta Ads
The account holder must limit which team members can view advertising and financial reports. Users with access may learn sensitive business information, so permissions must be assigned and reviewed. Connecting an asset to a store does not authorize disclosing it in other accounts or to other sellers.
The integration depends on Meta's interfaces, permissions, rate limits and decisions. It may be interrupted by token expiry or revocation, access changes, app reviews or external unavailability. Boxful will report known issues that materially affect the module and will seek to fix those that depend on its systems.
Synchronization is not necessarily instantaneous. When a report shows an earlier update, users should take that date into account. Permanent availability or absolute equivalence with Meta's interface is not promised. This does not remove service commitments expressly assumed by Boxful.
30. Disconnection, revocation and deletion of Meta Data
Users can revoke access through the app or integration management options Meta offers for their account. They can also disconnect the integration from Settings → Integrations in Drop. Boxful will verify the legitimacy of the request and stop new queries related to the revoked access.
Disconnecting an ad account does not automatically close the Drop account or delete its orders, goods or balances. Revoking access and requesting deletion of information are related but distinct actions. Retention or deletion of Meta Data will be subject to Meta's applicable requirements, the law and the authorized purpose, and not only to the general business records policy.
The deletion request and its public instructions are available at app.soydrop.com/data-deletion. Boxful will also honor the deauthorization and deletion notifications or mechanisms from Meta that apply to the implemented app, within a maximum of 30 days.
Timeframes, verification criteria and treatment of backups will be described in the Privacy Policy and the deletion instructions. Any exceptional retention must be permitted, limited to what is necessary and kept out of incompatible active uses. These terms do not authorize keeping Meta Data indefinitely for general business reasons.
31. Advertiser's obligations and third-party rules
The merchant is responsible for the content of its ads, usage rights, claims, compliance with advertising policies, account, billing and spend contracted directly with Meta. Drop does not automatically validate the lawfulness of a campaign by showing its metrics and does not guarantee that Meta will approve an ad or keep an account active.
Users must comply with Meta's terms applicable to their account and activity. Boxful must fulfill the obligations that apply to it as operator of the integration; it may not shift them entirely to the merchant through a generic acceptance. A conflict with Meta's rules may prevent use of the module and will be communicated as permitted.
Disputes over charges made by Meta or decisions of its platform must be handled through the corresponding channels, without prejudice to Boxful addressing errors in its own reports or integration. The connection does not appoint Boxful as an advertising agency or as the merchant's general representative before Meta.
32. Privacy and buyer data
Each party must process personal data according to its actual role and the applicable law. The merchant must inform its buyers about the uses needed to manage orders, deliveries, support and collection, as well as the relevant recipients. It must have a valid legal basis for uploading data to Drop; consent will not be required where another legitimate basis exists, nor will consent be presumed where it must be obtained.
Boxful will process account and operations data in accordance with its Privacy Policy. Where it acts on the merchant's instructions, the obligations of processor or processing service provider must be defined in the corresponding agreement. Boxful's own uses must be identified separately and have a valid basis.
Users must not upload unnecessary data, sensitive categories without justification or third-party information obtained unlawfully. Buyer data may not be extracted for spam, harassment, sale of databases or purposes other than those authorized. Logistics and collection information does not permit indiscriminate disclosure of personal histories.
Requests for access, correction, objection, deletion or other rights will be handled according to the applicable law and the role of each party. Boxful and the merchant will cooperate when a request affects information processed by both. Contractual acceptance does not constitute a waiver by data subjects of their rights.
33. Security, retention and confidentiality
Boxful and the user must apply reasonable measures appropriate to the data and functions under their control. Security cannot be guaranteed as the absolute absence of incidents. In the event of a relevant incident, investigation and containment measures will be taken and the required notifications will be made to users, data subjects or authorities.
Commercial, accounting, operational and technical records will be kept for the necessary and legally permitted periods, according to the Privacy Policy and the applicable obligations. Not all data has the same retention period. Meta Data is also subject to the specific restrictions of that integration.
The parties will keep confidential the non-public information received to provide or use the service, including negotiated rates, customer data, inventory, operations and advertising reports. It may be shared with staff and providers who need to know it and are bound by appropriate obligations, or upon a valid legal requirement.
Confidentiality does not prevent reporting an infringement to an authority, exercising rights or providing evidence in proceedings. Data that is public, lawfully received from another source or independently developed will not be considered confidential merely because it appears in Drop.
34. Intellectual property and content license
Boxful or its licensors retain the rights to Drop's own software, design, trademarks and materials. Users receive a limited, non-exclusive and non-transferable right of use for the duration of the relationship, according to the contracted features. They do not acquire ownership of the code or of Boxful's or third parties' trademarks.
Users retain their rights to their own content and grant Boxful a limited license to host, reproduce, technically adapt and display it to the extent necessary to provide the requested service. That license does not authorize using the merchant's brand in public campaigns or success stories without additional authorization.
The vendor must state whether it allows sellers to use its images, texts and trademarks to market the products, and within what limits. Access to a file does not constitute an assignment of all its rights. Anyone publishing content must have sufficient authorization and address legitimate intellectual property claims.
The general content license does not expand Boxful's rights over Meta Data or personal data. Infringement notices must identify the content, the right claimed and the available evidence. Boxful may restrict access to the content while it investigates in accordance with the law.
35. Acceptable use and automated tools
Attempting to access other people's accounts, circumvent permissions, compromise security, alter records, introduce malicious code, use the platform for fraud or extract information through unauthorized mechanisms is prohibited. Use of APIs and automations must comply with the enabled access, limits and documentation.
Users may not create fictitious orders, settlements or movements to generate undue balances, alter metrics or obtain promotional advantages. Nor may they use Drop for unlawful, discriminatory or misleading communications or communications that infringe third-party rights.
Where artificial intelligence tools, recommendations or automatic calculations exist, their results will have the scope stated in each feature. Users must review suggestions before using them in commercial decisions, publications or instructions. A recommendation is not guaranteed to secure sales, deliveries or profits.
The advisory nature of a recommendation does not exclude liability for Boxful's own execution errors nor make the fulfillment of contracted obligations discretionary. If a feature performs actions automatically, its scope, conditions and controls must be disclosed before it is enabled.
36. Availability, maintenance and service changes
Boxful will seek to operate Drop in a reasonably stable manner and may carry out maintenance, updates and technical changes. When a planned intervention materially affects the service, it will be announced through the available channels with reasonable notice, unless immediate action is required for security or legal compliance.
A service free of all interruptions or errors is not guaranteed. Specific availability, support or recovery commitments must be set out in the applicable offer or agreement. General availability exclusions do not remove those commitments or the obligation to address failures attributable to the Operator.
Modification or withdrawal of a material contracted feature will be communicated and handled according to the contract, including any applicable remedies or refunds. Boxful may not use a technical update to appropriate funds, indefinitely prevent goods from leaving or delete evidence needed for an ongoing claim.
37. Suspension and termination
Boxful may fully or partially suspend an account in case of material breaches, fraud, security risks, unlawful use, failure to provide essential information or non-payment of enforceable obligations. The measure must be related to the problem and will allow it to be remedied where feasible, except in urgent situations or where legally prohibited.
The general reason and a review channel will be provided, to the extent permitted. Users may submit evidence and request reconsideration. A preventive suspension is not a final finding of liability nor does it authorize publishing unfounded accusations.
Users may request the closure of their account. Ongoing orders, inventory, balances and pending obligations will be coordinated. Where there is a subscription or minimum commitment, termination will be subject to the accepted specific conditions and applicable legal rights.
Upon termination, the right to use the affected features will end, but valid payment obligations, settlement of funds due, return of goods, confidentiality and handling of pending claims will survive. Closure does not mean waiving the balance or immediately deleting all records.
38. Disclaimer of commercial warranties
Boxful does not guarantee that users will achieve a certain volume of sales, margin, return on investment, ad approval, access to financing or acceptance of COD deliveries. Historical figures, suggested prices, profit estimates and educational materials are not commitments to results.
To the extent permitted by law, no warranties are given on third-party products other than those expressly assumed or imposed by Boxful's actual involvement. Inherent defects and other parties' commercial promises will be governed by the obligations of the relevant seller, vendor or manufacturer.
These exclusions do not alter the obligation to provide our own services in accordance with the contract, properly handle entrusted goods and funds, protect data according to the applicable role and comply with mandatory rules. No description of the service as available or dependent on third parties removes those obligations.
39. Limitation of liability
In commercial relationships between Boxful and users acting in a professional capacity, and only to the extent permitted by law, Boxful's aggregate contractual liability for damages arising from the technology service will be limited to the total platform usage fees actually paid by the user during the twelve months before the event giving rise to the claim. The scope and validity of this limit depend on the applicable law and the accepted specific conditions.
That limit does not cover or reduce the obligation to deliver funds received on the user's behalf, settle balances due, return goods or refund charges improperly collected. Damages for loss of or damage to goods under Boxful's own logistics service will be handled according to that service's contract and applicable rules, without automatically applying a limit based on software fees.
Liability for wilful misconduct, gross negligence where it cannot legally be limited, death or personal injury in cases protected by law, or any other non-waivable liability is not excluded or limited. Privacy, security and consumer protection obligations will be subject to the applicable legal restrictions and will not be nullified by this clause.
To the extent legally permitted, Boxful will not be liable for lost profits, lost opportunities or indirect damages that are not a compensable consequence of its own breach. Whether a damage qualifies and can be limited will depend on the law and the case; calling a loss indirect is not enough to exclude it.
Users must take reasonable steps to reduce avoidable damage once they become aware of the problem. Boxful has the same obligation regarding failures under its control. The same damage will not be compensated twice, but an operational remedy or partial credit will not by itself extinguish rights that remain outstanding.
40. Indemnity for user's conduct
To the extent permitted by law, the user must hold Boxful harmless against third-party claims and reasonable expenses arising from products it supplies or sells, its own misleading advertising, intellectual property infringements, unlawful data uploads or contractual breaches attributable to the user. The obligation will be limited to the user's actual share in the damage and to legally enforceable amounts.
This indemnity does not cover events attributable to Boxful, obligations that apply to it by law or the part of the damage caused by its own conduct. Nor does it establish automatic joint and several liability among all users involved in a commercial chain.
Boxful will promptly notify the claim and allow the user to participate in the defense within reason. It will not accept settlements that impose obligations, admissions or payments on the user without the user's consent, unless required by law. Claimed expenses must be documented and related to the case.
41. Force majeure and events beyond control
Neither party will be liable for a failure caused by an extraordinary event beyond its reasonable control that meets the force majeure requirements of the applicable law. The affected party must give notice when possible, substantiate the event and take reasonable measures to mitigate its effects.
An ordinary failure of a provider, foreseeable lack of capacity, lack of one's own funds or an avoidable security problem will not automatically be considered force majeure. Third-party involvement will be assessed according to the real possibility of prevention and the obligations assumed.
Force majeure does not extinguish obligations to return funds or goods, nor does it remove pending reconciliation. If the impediment persists and materially affects the relationship, the parties will coordinate the termination of the affected service and the corresponding adjustments under the contract and the law.
42. Communications, records and evidence
Communications about the service will be made through the platform, the registered email or the contractually designated channels. Users must keep their contact details up to date. The validity of a notice will depend on the agreed mechanism and the applicable legal requirements.
Logs, confirmations and electronic records may serve as evidence of instructions and operations. They are not absolute proof and do not prevent challenging an error, impersonation or failure. They may be compared with bank receipts, courier documents, physical evidence and other relevant sources.
Optional commercial announcements and promotional communications will be subject to the Privacy Policy and the applicable preferences or legal bases. Declining them will not prevent receiving notices that are essential to operate the account or fulfill contractual obligations.
43. Changes to these terms
Boxful may update these terms to reflect legal or service changes. It will publish the version, its effective date and a notice of material changes with reasonable advance notice, except for urgent changes required for security or regulatory compliance.
Changes will not retroactively affect operations already accepted or claims arising before their effective date. When they expand permissions, impose new material obligations or require express acceptance by law, Boxful will request that acceptance before applying the change to the user.
If the user does not accept a material change, they may stop contracting the affected service and request termination under the applicable conditions, with settlement of balances and coordination of pending goods. Not accepting a change does not result in the loss of funds or goods as a penalty.
44. Governing law and dispute resolution
The contractual relationship will be governed by the laws of the Republic of El Salvador, without displacing mandatory rules that protect users, buyers or data subjects in other jurisdictions where they apply. Regional operations may require local annexes identifying the contracting entity, conditions and mechanisms required by each country.
The parties will try to resolve disputes directly, providing enough information to investigate the case. This mechanism does not prevent seeking urgent measures, going to the competent authorities or exercising rights within the legal deadlines.
Where no solution is reached and a contractual choice of forum is valid, the competent courts of San Salvador, El Salvador, will have jurisdiction. This clause does not impose arbitration, a waiver of class actions or the loss of non-waivable jurisdictional rights. Any arbitration mechanism will require a specific and valid agreement.
45. Final provisions and contact
If a provision is invalid or unenforceable, the rest will remain in force to the extent the agreement retains its purpose and is legally permissible. The affected provision will be interpreted or replaced through the mechanism permitted by law, without unilaterally expanding the Operator's powers.
Failure to exercise a right immediately does not constitute a waiver. Users may not transfer their account or contractual position without authorization when doing so would compromise identity, data, assets or funds. Any assignment by Boxful must respect the user's rights, disclose relevant changes and comply with restrictions on third-party data and services.
These terms do not create a partnership, employment relationship, franchise or general agency between Boxful and the user. Specific collection, preparation or coordination engagements will have exclusively the agreed scope. No clause grants Boxful rights that Meta or other right holders have not granted it.
